Designed to accompany the company law module on the Bar Vocational Course, this manual gives an overview of the salient topics of company law and has detailed coverage of a number of areas which are commonly dealt with by junior practitioners whose practices include company law. It is designed to cover substantive law and it provides a foundation for applying the professional skills that barristers need in a company law context. The contents range over the main areas of company law, including the constitution of companies, share and loan capital, directors' and shareholders' meetings, the role and duties of directors, shareholder protection, insolvency and compulsory winding up. Particular emphasis is given to unfair prejudice petitions, directors' fiduciary duties, various aspects of compulsory winding up and to the practical application of the law.
